Toolkit · Attorney brief · Draft v0

One intake, four topics

A single consolidated question list to bring into the first attorney engagement — spans both K4C and LiveSwell. Batching these is materially cheaper than piecemeal questions across separate calls.

Ideal counsel profile

Oregon-licensed attorney with dual experience: (1) craft-beverage / OLCC licensing and (2) nonprofit and charitable-promotion rules. Solo practitioners or small firms typically price better than full-service alcohol-beverage practices for this scope.

Topic 1 — Entity choice

How we should be organized

  1. 1.1 LLC vs. C-corp vs. benefit corp for LiveSwell given the give-back model and eventual outside investment.
  2. 1.2 Should K4C be a separate LLC, a DBA, an unincorporated program of LiveSwell, or its own 501(c)(3)?
  3. 1.3 If separate entities: intercompany agreement structure, IP flow (recipes, brand), and management overlap.
  4. 1.4 Oregon vs. Delaware formation trade-offs at our stage.

Topic 2 — Give-back promotions

Oregon rules for sales that benefit a charity

  1. 2.1 Does Oregon require registration, a filed contract, or reports when a for-profit promotes sales as benefiting a charity? Does our template (see the disclosure draft) meet it?
  2. 2.2 If filings are required, one per campaign or one umbrella when the beneficiary rotates quarterly?
  3. 2.3 Written agreement template with each beneficiary nonprofit (K4C nights + LiveSwell can donations).
  4. 2.4 Recordkeeping requirements (10-yr retention) — minimum documentation per event / per SKU batch.
  5. 2.5 Multi-state exposure: if LiveSwell cans ship outside Oregon, which states' rules apply?

Topic 3 — OLCC licensing

What we can and cannot do at each stage

  1. 3.1 K4C events at existing licensed taprooms — do we need any OLCC license as the organizer, or does the venue's license cover us?
  2. 3.2 Tip-jar / donation-collection rules at a licensed premises when a third party (K4C + nonprofit) is on-site.
  3. 3.3 LiveSwell as a contract-brewed brand — do we need a Type-01 (beer manufacturer) license, a Type-17 (beer + wine wholesaler), or can we operate under the contract brewer's license with a proper agreement?
  4. 3.4 Advertising restrictions on tying alcohol sales to charitable giving under Oregon rules.
  5. 3.5 Trade-practice rules if a K4C event promotes both a specific brewery and LiveSwell products.

Topic 4 — Sponsor + partner agreements

Templates we need reviewed once, reused forever

  1. 4.1 K4C brewery-host agreement (venue, kegs donated, tally + payout terms, IP + photo release).
  2. 4.2 K4C beneficiary nonprofit agreement (written contract, deliverables, timelines).
  3. 4.3 LiveSwell contract-brew agreement — review our term checklist (see /liveswell/contract-brew-checklist) against local craft-bev norms.
  4. 4.4 Corporate / brand sponsor agreement for event-level or annual sponsorship, including logo use and non-endorsement disclaimers.
  5. 4.5 Volunteer / photo-release language for event attendees (short-form on sign-in, long-form on website).

Scope + fee expectations

What to ask for up front

  • · Flat fee for entity formation + first give-back filing, if any (fee range TBD).
  • · Hourly rate for agreement templates, with a not-to-exceed on the batch.
  • · Ongoing retainer option once the first give-back cycle closes.
  • · Clear conflict check — many alcohol-beverage firms already represent breweries we'd contract with.
